What is another name for a buy-sell agreement? It is most often called a buyout agreement or buy-out agreement. Some people call it a business continuation agreement. Each name points to one kind of contract: a written deal among owners about what happens to an owner’s share when a set event occurs.
This page explains those names, separates them from similar terms, and shows where life insurance can fit.
Other names for a buy-sell agreement
The most common other names are buyout agreement, buy-out agreement, and business continuation agreement. People use them in conversation and in paperwork. A buyout agreement focuses on buying out an owner’s interest. A business continuation agreement focuses on keeping the company running after an owner leaves. In practice, they often describe the same contract.
The name matters less than the terms. Two documents with the same title can work differently. Read who must buy, at what price, and when the buying must happen.

What is a buy-sell agreement?
A buy-sell agreement is a written contract among co-owners. It sets who may buy an owner’s interest, and on what terms, when a trigger event happens.
Common triggers include death, disability, retirement, divorce, and an owner leaving the business. The agreement may also explain how the price is figured. Without clear terms, an owner’s share could end up with someone the other owners never chose as a partner. For owners’ families, the agreement spells out what happens next, so no one is left guessing. It sets the rules before a crisis, not during one.
Business documents set the rules. In general terms, owners of an LLC may describe buy-sell procedures in their operating agreement, such as how an interest is transferred or what happens when an owner dies. The specific terms depend on the agreement the owners sign. Under Florida’s LLC dissociation rules, an individual member is dissociated when that member dies.
Terms that sound similar but mean something different
A shareholder agreement covers wider rules for running a corporation. A buy-sell agreement is narrower. It focuses on who may buy an owner’s interest.
A sales contract is a general term for an agreement to sell property. It is not, by itself, another name for a buy-sell agreement.
Cross-purchase and entity redemption describe who does the buying. In a cross-purchase, the other owners buy the interest. In an entity redemption, the company buys it. These are structures inside a buy-sell agreement, not separate names for it.
For partnerships, Florida’s buyout price rule says that when a partner leaves without ending the partnership, the partnership must cause that partner’s interest to be purchased. The price follows a formula in the statute.
How life insurance is used to fund a buy-sell agreement
Life insurance can help fund a buyout when an owner dies. The agreement sets the terms. The funding method decides where the purchase money comes from. A common gap is an agreement that names a trigger event but has no plan to pay for the buyout.
Florida law allows certain insurance on owners. Under Florida’s insurable interest statute, owners who sign a contract to buy or sell a business interest hold an insurable interest in each other’s lives, for that contract only. A business entity may insure owners or key persons if written consent is obtained before the insurance is bought.
Federal tax treatment depends on the facts. The IRS explains that whether proceeds are taxable depends on the facts. Estate tax is a separate question.
Term life insurance covers a set period. Whole life insurance is designed to last for the insured’s life. Each has trade-offs in cost and purpose. Coverage requires health questions and underwriting, and issue may depend on insurability. Insurance is offered by the licensed insurance agent, separately from the accounting practice. For structure details, see the buy-sell agreement insurance overview and the cross-purchase funding page.
