If that person dies, the policy may pay the business, and the business decides how to use the money. Business owners in Florida usually look at key person insurance when one person carries a large share of revenue, client relationships, or licensed work. This page explains how the policy works, who holds it, and what to weigh before deciding. It is general information, not legal, tax, or accounting advice.

What key person insurance is

Key person insurance is life insurance with a business purpose. The business applies for and holds the policy, and the insured person is the one whose life is covered. Many people call it key man insurance, which is a common alternate name for the same concept.

The business needs a reason tied to its operations. That reason might be a founder who holds the main client relationships, an engineer who runs a critical process, or a managing partner whose signature a bank requires. Florida law defines a business entity to include a partnership, corporation, limited liability company, and business trust, and it lets these entities hold an insurable interest in certain key persons (Fla. Stat. § 627.404).

Insurer underwriting decides whether a policy is issued and on what terms. Applying for a policy does not guarantee approval. Your company’s facts, the insured person’s health, and the insurer’s rules all shape the outcome.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a coverage review

Schedule a coverage review

Who owns the policy, pays the premiums, and receives the death benefit

In the usual arrangement, the business owns the policy, pays the premiums, and is the beneficiary. The insured person does not receive the death benefit in that setup. Roles can differ by policy and contract, so the written contract controls.

Florida law sets conditions before a business can buy this coverage. The business needs written consent from the key person, and it may not retaliate against someone who refuses (Fla. Stat. § 627.404). The insurable interest must exist when the contract is made. It does not have to continue after coverage starts.

Payment of any death benefit depends on the policy terms, the insurer’s review, and approval of the claim. Nothing on this page promises that payment will happen.

Tax treatment depends on the policy, the business structure, and the owner’s circumstances. Under IRC § 101, a death benefit paid under a life insurance contract may be excluded from income in general, but exceptions apply. These include the employer-owned life insurance rules in IRC § 101(j), which can limit the exclusion unless notice-and-consent requirements are met before the policy is issued. Tax treatment depends on the policy, the contract and the individual’s circumstances (IRC § 101). Under IRC § 264(a)(1), no deduction is allowed for premiums on a life insurance policy if the taxpayer is directly or indirectly a beneficiary under the policy, subject to the exceptions in that section; deductibility depends on the policy, the business structure and the individual’s particular situation (IRC § 264). Estate inclusion can depend on who holds ownership rights at death (IRC § 2042). Employer-owned policies can also carry annual reporting duties under federal rules. Ask about your facts before you rely on any of these points.

Term and whole life options for key person coverage

Term life insurance covers a set period. Whole life insurance is designed to last for the insured’s life, as long as premiums are paid as the contract requires. Many businesses start by asking how long they expect the need to last.

Whole life insurance may build cash value under the contract. That cash value has two parts. Guaranteed amounts are stated in the contract. Non-guaranteed amounts depend on the insurer and can change. If a policy pays dividends, those dividends are not guaranteed. Whole life is life insurance first. It is not a savings plan or an investment.

Loans and withdrawals can reduce both the cash value and the death benefit. Florida law includes a policy loan rule for policies with a cash surrender value, and that rule does not apply to term policies (Fla. Stat. § 627.458). Loan terms depend on the policy. Unpaid interest can add to the debt, and the policy may end if the debt reaches the loan value, after notice.

The right policy type depends on the length of the need, the insurer’s terms, and the business’s budget. Term and whole life are not interchangeable.

Is key person insurance worth considering?

Whether key person insurance is worth considering depends on how much the business relies on one person. It also depends on the company’s debts, its partner agreements, and the cost of coverage under the policy. No single answer fits every company.

Start with a few practical questions. Would a lender ask for protection before extending credit? Does the business depend on one person’s license, client relationships, or technical knowledge? Would partners need funds to buy out an owner’s share under a buy-sell agreement? Would debts come due if this person died?

Keep the decision measured. Do not assume the worst case, and do not let fear drive the choice. Some businesses review the facts and decide a policy is not needed.

A key person policy can be one factor that buyers, lenders, or investors consider. That depends on the case and the policy terms. Having a policy does not automatically raise a business’s value. The NAIC Life Insurance Buyer’s Guide lists questions worth asking before buying any life policy.

Choosing a coverage amount: a starting point, not a formula

Many owners begin by listing what the business would need if the person were lost. That list might include revenue lost during a transition, debts a lender could call, and payments owed to partners or the estate.

Some people also use a multiple of pay as a rough starting point. Treat that as a rule of thumb, not a formula. It does not account for the company’s debts, contracts, or partner terms. Its fit depends on what the business needs to protect.

No single number is right for every business. The insured person’s role, the company’s obligations, and the policy’s terms all matter. Age and circumstances can affect both the cost and the amount that makes sense. Any later increase in coverage depends on insurability and circumstances at that time.

Have questions about what happened?

Ask our team directly. This page does not quote a premium, and no figure applies to every business.

Premium terms depend on the level-premium period stated in the specific policy and contract. A premium may stay level for one period and change under other contract terms. Read the contract before you assume any premium pattern.

Riders, policy features, and guaranteed and non-guaranteed values also affect the decision. Look at the full contract, not just the first premium. The best way to understand the premium factors for your business is a coverage review with our team. We can walk through your situation with you.

Florida business considerations

Businesses in Miami, Fort Lauderdale, West Palm Beach, Orlando, Tampa, and Jacksonville all operate under the same Florida insurance law. This page covers those general state rules. It does not describe conditions in any single local market.

A key person policy can connect to a buy-sell agreement. Under such an agreement, partners or the company may buy a departed owner’s interest, and policy proceeds may fund that purchase. How this works depends on the agreement, the entity type, and the policy. Some lenders also ask for coverage as a loan condition, though lender terms vary.

Under Fla. Stat. 222.14, the cash surrender value of a life insurance policy on a Florida resident may be protected from that insured person’s creditors, unless the policy was made for the creditor’s benefit. This protection does not extend to a policy owned by a business, which may not be protected from the business’s own creditors. The protection does not apply if the policy was made for the creditor’s benefit (Fla. This content is general information, not legal, tax, or accounting advice for any particular business.

Underwriting, the 14-day look period, and the insurer’s approval

A fully underwritten policy requires health questions. Issuance and terms depend on the insured person’s insurability. This page does not describe any option without health questions.

Under Florida’s rule (Fla. Stat. 626.99(4)), the look period for a life insurance policy is 14 days. For a policy delivered in another state, the period depends on that state’s rules and the issuing insurer’s policy terms. Insurance is offered by the licensed agent, separately from the accounting practice. During that period, the policy owner may review the policy and return it, as the issued contract explains. Confirm the period against the issued contract.

The issuing insurer is [INSURER NAME, REQUIRED BEFORE PUBLICATION]. Insurance is offered separately from the accounting practice of NR CPAs & Business Advisors. Florida law requires agents to clearly identify themselves as insurance agents and to identify the insurers they represent (Fla. The business usually owns the policy, pays premiums, and is the beneficiary. The insurer decides issuance and terms. Whole life may build cash value, but guaranteed and non-guaranteed amounts both apply, and loans reduce both cash value and the death benefit.

Is key person insurance the same as key man insurance?

Yes, the two names usually refer to the same type of business-owned life insurance.
