This guide walks through what typically happens, step by step, and how insurance can change the picture.

What Happens When My Business Partner Dies First?

Without an agreement, the business does not stop on the date of death. Day-to-day control can still become unclear, though. It does not settle who gets paid, who votes, or who signs checks.

Your first weeks matter. Keep operations moving, but avoid three things until you have read the governing documents. Don’t move company funds. Don’t sign new contracts tied to the deceased partner’s share. Don’t change ownership records. They may have no role in running the business. If your company is an LLC, the rules are different in detail. Under Fla. Stat. § 605.0602, an individual member is dissociated when that individual dies. Under Fla. Stat. § 605.0504, if a member who is an individual dies or a court of competent jurisdiction adjudges the member to be incompetent to manage the member’s person or property, the member’s legal representative may exercise all of the member’s rights for the purpose of settling the member’s estate or administering the member’s property.

That creates friction. Heirs may expect a payment or a voice in decisions. Surviving owners may want quick answers about control and money. An estate moves on its own process, which can be slower than the business needs. Disagreements about financial records, information rights, and timing can arise from there.

Check which entity you own. Partnership rules and LLC rules do not match, so the same answer will not fit both. Pull the documents before you talk with the estate.

How Does the Surviving Partner Pay for a Buyout Without Insurance?

Without a funded plan, the surviving partner often pays from personal savings, business cash, or a bank loan. For a partnership that continues, Florida law sets a default price. Under Fla. Stat. § 620.8701, the partnership must buy the dissociated partner’s interest for a buyout price. That price is the amount the partner would have received if the assets were sold at the greater of liquidation value or going-concern value. Interest runs from the date of dissociation until payment.

The timing can be tight. The same statute says that if no purchase agreement is reached within 120 days after a written demand for payment, the partnership must pay in cash its estimate of the buyout price, plus accrued interest. Amounts the departing partner owes the partnership can reduce that payment.

Common pressure points include personal guarantees the deceased partner signed on business debt. Another is lost clients or referrals while payments to the estate continue. These are pressure points to plan for, not predictions for your business.

Why Do Disputes Over Value Happen When No Formula Exists?

Disputes happen because no written formula tells everyone what the share is worth. The federal business valuation rule defines fair market value as the amount a willing buyer would pay a willing seller. Both must know the relevant facts and neither is under pressure to act. The valuation considers a fair appraisal of all business assets, including goodwill, and the business’s demonstrated earning capacity.

Goodwill covers reputation, client relationships, and repeat business. Those are the hardest assets to pin down after a death. Appraisals take time and cost money. A value set after a death can also differ from what the partners assumed while alive.

A clear valuation formula in the agreement shrinks the number of decisions left to negotiation. Write it down while everyone is still living and still agreeing.

How Do Key Person and Buy-Sell Insurance Change the Outcome?

Insurance puts money in place before a death. The written agreement still decides how that money is used. Key person life insurance is a policy the business owns on a key person. According to the Insurance Information Institute, this coverage compensates a business for financial losses caused by the death of a key employee. The business receives the proceeds. It may use them to cover lost revenue, recruit a replacement, or steady operations.

Buy-sell agreement insurance is built to fund the purchase of a deceased owner’s interest. Policy proceeds are not an automatic buyout, though. The agreement must say who buys, at what price, and how the money is applied. Without that text, the statutory default described above applies instead.

Tax rules matter too. Under 26 U.S.C. § 2042, life insurance proceeds receivable by the executor are included in the gross estate. Proceeds receivable by other beneficiaries can be included too, when the decedent held certain ownership rights at death. If a closely held business interest is large, the executor may elect installment payments. Under 26 U.S.C. § 6166, that election applies when the decedent was a U.S. citizen or resident at death and the closely held business interest exceeds 35 percent of the adjusted gross estate; the executor may then pay part or all of the estate tax in installments. It allows payment in 2 to 10 equal installments.

Whether a policy can be issued, and on what terms, depends on the insured’s age, health, and the policy type. Applications may include health questions and underwriting review.

Steps to Take Now If Your Partner Has Already Died

Start by gathering the documents. Then list the debts and the policy records. Collect these items first:

The operating or partnership agreement, and any buy-sell agreement.

The deceased partner’s will or trust, and the estate contact.

Any life insurance on the partner, including the owner and the beneficiary.

Business debts, personal guarantees, bank signers, and client contracts that depend on the partner.

Dated notes of decisions and messages with the estate and the remaining partners.

Ask whether the business’s federal EIN needs to change. The IRS explains when a new EIN is required, and the answer depends on how ownership or structure changes. See the IRS guidance on new EINs.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a coverage review

Schedule a coverage review

Talk With Us About Your Situation

<details class="wp-block-details chg-faq is-layout-flow wp-block-details-is-layout-flow">
Can the remaining partners buy out the share without an agreement?

Florida’s default rule can require the partnership to buy the interest at a statutory buyout price.
