In a sole proprietorship, the business is tied closely to the owner’s estate. In an LLC, partnership, or corporation, the company usually keeps going on its own, but the deceased owner’s share and any debts still have to be handled.

This page explains those general patterns in plain words. It also shows where a business can stall and how key person insurance and buy-sell planning are designed to close those gaps.

Why the Business Structure Decides What Happens Next

The business structure decides most of the answer. A sole proprietorship, partnership, LLC, and corporation each follow different rules when an owner dies.

Three other factors shape the result. The first is who owns what. The second is how assets are titled, meaning whose name is on bank accounts, equipment, and property. The third is whether the owners signed written agreements that say what happens to an ownership share at death.

A will or trust also matters. A will is one common document people use to describe how they want their property handled after death.

If you have questions about how your business interests and your life insurance fit together, you are welcome to request a coverage review with our team. Until the estate representative is in place, nobody may have clear authority to act on the business’s bank accounts, contracts, or licenses.

Customers and vendors may notice the gap. Orders can slow down, invoices can sit unpaid, and a license may need attention. Each of these problems is easier to manage when someone already knows where the records are and who can sign for the business.

What Happens to Business Debt and Obligations When the Owner Dies

For a sole proprietorship, business debts generally fall to the owner’s estate. Creditors then look to the estate to be paid.

An LLC or corporation is a separate entity, so it usually stays responsible for its own debts. Florida law treats a member of an LLC as dissociated when that member dies, which is why the operating agreement matters. The Florida LLC dissociation statute sets out this rule.

Personal guarantees are the common exception. Many business loans, leases, and lines of credit require an owner to sign a personal guarantee. If the owner has signed one, the lender or landlord may still have a claim against the owner’s estate. Owners plan ahead because a guarantee can reach personal assets even when the business is a separate entity.

Practical First Steps and Common Missteps After an Owner’s Death

Family members or partners often need to take a few early steps. Start by locating the key documents, including the operating agreement, partnership agreement, or shareholder agreement, along with bank records and payroll details.

Identify payroll and tax obligations next. Keep records in order so the business can show what it owes and what it is owed.

Some missteps cause the most trouble. One is making hurried ownership or asset decisions before the role of the estate representative is clear. Another is letting payroll, tax deposits, or insurance lapse while the paperwork is being sorted out.

The right first steps depend on the business’s structure and the state where it operates.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a coverage review

Schedule a coverage review

Can a Family Member Inherit and Run the Business?

A family member can inherit ownership, but inheriting ownership is different from being able to run the business. Running it may require licenses, staff relationships, customer contracts, and vendor credit that the owner personally held.

Florida law lets a deceased member’s legal representative exercise the member’s rights to settle the estate or manage its property. The Florida LLC legal representative statute describes this role.

Ownership can pass under a will or trust. Interests in an LLC or corporation often transfer differently from assets a sole proprietor held directly, so the entity’s documents matter.

Why a Business Can Stall Without the Person Who Runs It

A key person is an owner or employee whose position or compensation is described in s. 101(j)(2)(A)(ii) of the Internal Revenue Code of 1986, which is the test the Florida insurance statute uses. When that person dies, the business can lose more than a name on the door.

Revenue can dip while customers wait to see who is in charge. Vendors may tighten credit. Staff may leave or hesitate to make decisions. These effects can spread quickly.

Cash flow gaps create pressure. A business may need money to cover payroll, hire a replacement, or pay off debt.

How Planning Before a Death Can Help: Key Person and Buy-Sell Insurance

Key person life insurance is a policy the business owns on a key person, with the business as beneficiary. According to the Insurance Information Institute, this coverage compensates a business for financial losses caused by a key employee’s death or disability. The business may use those funds to recruit a replacement, cover lost revenue, or pay down debt.

Florida law sets conditions. A business entity has an insurable interest in its owners, directors, officers, partners, managers and key persons, including those of an affiliate or subsidiary, if written consent is obtained from the key employees or persons before the insurance is bought. The business may not retaliate against a key person who refuses to consent. The Florida insurable interest statute sets out these rules.

Buy-sell agreement insurance is a written plan among owners. It sets how an owner’s interest is valued and bought out at death, and life insurance is often used to fund the buyout. For partnerships, when a partner leaves without the partnership dissolving, Florida’s partnership buyout statute says that if no agreement for the purchase of the dissociated partner’s interest is reached within 120 days after a written demand for payment, the partnership must pay the estimated buyout price in cash, plus accrued interest, reduced by any offsets and accrued interest under subsection (3). For corporations, an agreement authorized by Florida’s shareholder agreement statute is effective among the shareholders and the corporation when it complies with that section, which requires that it either be set forth or referenced in the articles of incorporation or bylaws and approved by all persons who are shareholders at the time of the agreement, or be set forth in a written agreement signed by all persons who are shareholders at the time of the agreement and made known to the corporation.

Federal tax rules also affect the design. Amounts paid because of the insured’s death are generally excluded from gross income, though interest paid on proceeds left with the insurer is taxable. Under federal tax law, premiums on any life insurance policy are not deductible when the taxpayer is directly or indirectly a beneficiary under the policy. Policy ownership and beneficiary choices should be reviewed with the actual documents.
