The business usually owns the policy and names itself as beneficiary. The details still matter. How the business is organized, how premiums are booked and what the money must cover all shape the answer. Here is how those pieces fit, with a CPA’s view of tax and cash flow. For the broader topic, see our key person life insurance guide.

The Short Answer for a Sole Owner

Can a sole owner business pay for key person life insurance? In many cases, yes. Key person life insurance is a policy a business owns on the life of someone whose death would cause it financial loss. The Insurance Information Institute explains how this coverage helps a company after a key person’s death.

When the owner is the key person, the business can be both the policy owner and the beneficiary, if consent is obtained in writing from the key employees or persons before the insurance is purchased. That lets the company pay the premiums and receive the proceeds.

Florida law adds a condition. A business entity has an insurable interest in the life, body, and health of its owners, directors, officers, partners, and managers, or of any affiliate’s or subsidiary’s of those people, and of its key employees or key persons, if those people give written consent before the insurance is bought (Fla. Stat. 627.404). Fla. Stat. § 627.404(2)(b) limits insurable interest for life, health, or disability insurance to a defined list of interests, and that list includes an individual’s own life, body, and health; the life, body, and health of another person to whom the individual is closely related by blood or by law and in whom the individual has a substantial interest engendered by love and affection; and the life, body, and health of another person if the individual has an expectation of a substantial pecuniary advantage through that person’s continued life, health, and safety and a consequent substantial pecuniary loss by reason of that person’s death, injury, or disability. A sole owner should put that consent in writing at the start.

Whether the business pays the premium depends on who owns the policy and how payments are recorded. The owner count alone does not decide it.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a coverage review

Schedule a coverage review

How Your Business Structure Changes the Answer

Your entity type decides who holds the policy and where its payments land in the books. A sole proprietorship, a single-member LLC and a corporation can each hold a policy, but each one leads to different records.

A policy the owner holds personally, but the business pays for, creates a different record than a policy the business owns outright. The first raises questions about whose money paid the premium and who benefits. The second keeps the policy and its payments on the company’s books. We review both paths together before anything is bought.

Owners who hold stock through a corporation need extra care. Federal estate rules can attribute the company’s policy rights back to a controlling owner, as the next section explains.

Tax Treatment of Premiums and Proceeds

Federal law generally excludes death benefits from income, but the rules have limits. Under 26 U.S.C. 101, amounts paid because of the insured’s death under a life insurance contract are generally excluded from gross income. The statute lists exceptions, so this is a general rule, not a promise for every policy.

Interest works differently. 26 U.S.C. 264 generally bars deductions for interest on debt tied to life insurance the taxpayer owns. Under IRC § 264(e)(1), the key person exception applies to interest on indebtedness on policies covering a key person, up to $50,000 in aggregate indebtedness for policies covering that individual.

Under 26 U.S.C. 264, no deduction is allowed for premiums on a life insurance policy if the taxpayer is directly or indirectly a beneficiary under the policy; for other policies, whether a premium is deductible depends on the facts of your policy and your business. We confirm that treatment as part of the review, before the first payment.

In the books, we keep three items separate: premiums paid, policy loans and proceeds received. Premiums affect cash flow when paid. Proceeds arrive only after a death. Loans are debt the company owes. Mixing them makes the balance sheet misleading.

Tax rules change. This section gives general federal rules, and your situation may differ.

What Happens to the Business If the Only Owner Dies

Proceeds can give a business cash when it needs it most. They can cover business debts, payroll during a transition, or the cost of winding down or selling assets. Without a plan, a sole owner’s death can leave a company with bills and no one authorized to make decisions. A policy covers cash needs. It does not cover every business risk.

Florida law also affects who gets the money. For a Florida resident, proceeds payable to a named beneficiary are generally exempt from the insured’s creditors, unless the policy or a valid assignment says otherwise. If the policy pays the insured or the estate, the proceeds become part of the estate and go through probate (Fla. Stat. 222.13).

Estate tax is another piece. If the owner keeps the policy personally, 26 U.S.C. 2042 can pull the proceeds into the gross estate. Under 26 U.S.C. § 2010(c)(3), the basic exclusion amount is $15,000,000, and that dollar amount is adjusted for inflation for decedents dying in calendar years after 2026.

For a corporation the owner controls, 26 C.F.R. 20.2042-1 can attribute the company’s policy rights to the owner for any part of the proceeds not payable to the company. Where the decedent bought the policy in favor of another person or a corporation as collateral security for a loan, the proceeds are treated as receivable for the benefit of the estate, but the outstanding loan with accrued interest is deductible in determining the taxable estate (26 C.F.R. § 20.2042-1).
