Its bills, debts, and payroll keep coming due anyway. The owners must cover them from cash on hand, credit, or other sources. This guide walks through the first 90 days in plain steps, so you know what to check first and what can wait. If you’re asking what to do when a key person dies and the business needs cash, start here.

What Happens to the Business the Day a Key Person Dies

The business keeps existing as a legal entity after the death. Its bank accounts, contracts, and debts continue.

A key person is an owner, partner, or employee whose work, relationships, or skills the business depends on. The Insurance Information Institute explains that key person life insurance compensates a business for financial losses caused by a key employee’s death. Without a policy, nothing comes in to offset that loss. The company absorbs it.

Think of the business and the person as two separate things. The person is gone, but the company still owes payroll, rent, vendor invoices, loan payments, and tax deposits. Those bills arrive on schedule, even while the family is grieving and the paperwork is still moving. Nothing pauses while the estate settles. That is why the cash gap needs a plan from day one.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a coverage review

Schedule a coverage review

Days 1 to 7: The Immediate Steps

Knowing what to do when a key person dies and the business needs cash starts with the first week. Focus on facts, records, and who can act.

Confirm the death with official documents, such as a death certificate. Then tell people in a set order: key staff first, then major clients, then lenders and vendors. A set order keeps rumors and mixed messages from spreading.

Secure the books, bank statements, payroll records, tax filings, and contracts. These include a current list of the full names and last known business, residence, or mailing addresses of each member and manager, and copies of the company’s federal, state, and local income tax returns and reports and its financial statements for the three most recent years.

Next, check who can sign. Pull the bank signature cards and read the operating agreement or bylaws. In Florida, an individual member is dissociated when that person dies (Fla. Stat. § 605.0602). A dissociated member’s right to take part in management ends (Fla. Stat. § 605.0603). In plain words, the deceased owner no longer runs the company. Your documents decide who does.

Finally, start a daily or weekly cash position report. List each account balance, the bills due in the next few days, and the money you can actually use.

Days 8 to 40: Building a Cash Forecast Without the Expected Funds

Build a cash forecast that assumes no policy money is coming. That is the honest starting point when no key person policy exists, and it’s the core of what to do when a key person dies and the business needs cash.

List every fixed obligation by due date. Include payroll, rent, loan payments, insurance costs, supplier bills, and tax payments. Next, mark which revenue is at risk. If clients or contracts depended on the person who died, some income may slow. Name the specific contracts and customers so the risk is clear.

Measure cash reserves and any unused credit line. Read the loan agreement to see whether the lender can change terms after a principal’s death.

A CPA can model best-case and worst-case cash scenarios. The worst case shows how long cash on hand can cover bills. The best case shows how quickly revenue might recover. Neither case is a prediction. Owners use both to see the gap clearly.

If a policy does exist somewhere, note this rule. Florida law requires a lump-sum death payment to include interest, at an annual rate equal to or greater than the Moody’s Corporate Bond Yield Average-Monthly Average Corporate as of the day the claim was received, from the date the insurer receives written due proof of death (Fla. Stat. § 627.4615).

What Happens to Business Debt When an Owner Dies

Business loans generally stay with the business. They don’t move automatically to the deceased owner. Whether anyone else owes them depends on what they signed.

A personal guarantee is a separate promise. If the owner signed one, the lender may look to that guarantee. Its effect on the estate and on surviving owners depends on the guarantee’s wording.

For an LLC, dissociation doesn’t by itself cancel a debt the member owed while a member (Fla. Stat. § 605.0603). The debt stays on the books until it’s paid, settled, or otherwise resolved.

Review each loan agreement for notice requirements, change-of-control clauses, and any clause tied to a key person. Lenders may ask for updated financial statements or new guarantees before they keep current terms. Have that package ready before the lender asks.

Have questions about what happened?

Ask our team directly. Tell the bank about the death before you make new transactions on the account.

Don’t deposit a check made out to the deceased until you’ve checked with the bank. Banks usually need proof of legal authority before they act on an account. Ask which documents they require, and gather them early.

Expect the bank may limit or hold the account until authority is confirmed. Build that delay into your cash forecast so payroll isn’t stranded.

The business can still pay payroll and vendors through people the documents and bank records authorize. Keep ownership questions separate from daily payments. Pay what’s due. Write down who approved each payment, along with its date, payee, and purpose. Those records feed the books and any tax filing.

Days 41 to 90: Ownership, Buy-Sell Terms, and Operating Decisions

Decisions that can’t wait include paying bills and keeping clients served. A sale, a restructuring, or hiring a replacement can wait until the forecast and ownership terms are clear.

A buy-sell agreement, if one exists, sets the process and price for the deceased owner’s interest. Read it first. If the business is a partnership and a partner leaves without ending the business, Florida law requires the partnership to buy that partner’s interest (Fla. Stat. § 620.8701). Interest runs from the date of dissociation. If no agreement is reached within 120 days after a written demand for payment, the partnership must pay in cash the amount it estimates to be the buyout price and accrued interest, reduced by any offsets and accrued interest under subsection (3).

Value matters too. For federal estate tax, a business interest is valued at the amount a willing buyer would pay a willing seller, with both knowing the relevant facts.

Timing for tax filings matters as well. An estate tax return is generally due 9 months after death (IRC § 6075(a)).

Key person insurance and buy-sell insurance are different tools. Key person coverage helps the business absorb its own loss. Buy-sell insurance is meant to fund the purchase of an ownership interest.

Common Mistakes to Avoid in the First 90 Days

Four mistakes can make the first 90 days harder.

Mixing personal and business funds makes the books harder to read and the estate harder to settle. Keep separate accounts from the start.

Taking large distributions before debts and ownership terms are reviewed is risky. Florida law bars an LLC from making a distribution if, afterward, it could not pay its debts as they become due in the ordinary course of its activities and affairs, or if its total assets would be less than the sum of its total liabilities plus the amount needed to satisfy the preferential rights upon dissolution and winding up of members and transferees whose preferential rights are superior to those of persons receiving the distribution (Fla. Stat. § 605.0405).

Selling assets early, or making commitments to lenders or clients without a written cash forecast, can lock in costs you can’t carry.

Letting records slip creates problems later. Keep premium payment history and policy records ready for your CPA and attorney. Include how premiums were recorded in the books.

Planning Ahead: Coverage Review for Your Business

A coverage review is our first meeting with you.
