For employer-owned life insurance, IRC § 101(j)(5)(B) defines ‘insured’ for tax purposes as an individual covered by the contract who is a United States citizen or resident. That tax definition is one of several conditions relevant to the § 101(j) income-tax limit, which also depends on its exceptions and on written notice and consent requirements. Whether a business can obtain coverage on a particular person depends on the facts of the relationship and on the insurer’s underwriting. Where the partner was born does not decide the question.

This page explains the questions a Florida business owner should ask first. It covers insurable interest, what insurers ask about residence and travel, and which records help.

Yes, Often, But the Facts Decide It

A business may be able to insure a key partner who lives abroad, depending on the facts and the insurer’s underwriting. For tax purposes only, IRC § 101(j)(5)(B) defines ‘insured’ for an employer-owned contract as a covered person who is a U.S. citizen or resident, and that definition is one of several conditions bearing on the § 101(j) income-tax limit. It does not by itself determine whether a policy can be issued. The answer is not a yes or no based on country.

Many owners raise this question because a partner splits time between Miami and another country, or moves overseas for work. That situation raises real questions. It does not end the analysis by itself.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a coverage review

Schedule a coverage review

What Key Person Insurance Is and Who Owns the Policy

Key person insurance is life insurance a business buys on an owner, partner or essential employee. The policy pays when that person dies. The Insurance Information Institute describes this coverage as compensation for a business’s financial losses caused by a key employee’s death or disability.

In a typical arrangement, the business owns the policy and pays the premiums. The business is also the beneficiary. For income-tax purposes only, the employer-owned policy rules in IRC § 101(j) apply when the covered person is a U.S. citizen or resident; this is a tax definition and does not by itself decide whether an insurer will issue coverage on a partner who lives abroad. The death benefit usually goes to the business, not directly to the family.

For the full overview, see our key person insurance guide.

Insurable Interest: Why Location Does Not End the Question

A business can buy coverage on another person only when it has an insurable interest in that person’s life. Under Fla. Stat. § 627.404, any individual of legal capacity may procure an insurance contract on his or her own life or body for the benefit of any person, but no one may procure an insurance contract on another individual’s life or body unless the benefits are payable to the insured, his or her personal representatives, or a person who had an insurable interest in the insured when the contract was made. A business entity may insure owners, partners, officers, managers and key persons. The insured person must give written consent before the policy is bought. Under Fla. Stat. § 627.404, a contract of insurance upon a person, other than a prepaid funeral contract, group life insurance, or group or blanket accident, health, or disability insurance, may not be carried out unless the insured, who has legal capacity to contract, applies for or consents in writing to the contract and its terms on or before the time the contract is made. A person with an insurable interest in a minor younger than 15 years of age, or a person on whom such a minor depends for support and maintenance, may obtain a policy on the minor.

The business may not punish a key person who refuses to consent. That protection matters, so the consent step should never be skipped or rushed.

Under Fla. Stat. § 627.404, a business entity has an insurable interest in the life, body, and health of its owners, directors, officers, partners, and managers, and of its key employees or key persons, if written consent is obtained from those key employees or persons before the insurance is purchased. For this statute, a key employee or key person is an individual whose position or compensation is described in IRC § 101(j)(2)(A)(ii). The business may face a financial loss if one of these people dies, and that loss might be lost revenue, lost client relationships or the cost of replacing a leader. Living abroad does not, by itself, erase that loss. The real question is whether the business’s tie to the person is genuine.

The same statute says the insurable interest need not exist after coverage starts. The test applies when the contract is made. Document the tie clearly at that point, including ownership percentage, role and reliance.

What an Insurer Typically Asks About Residence and Travel

Insurers usually ask where the insured lives and what citizenship they hold. They also ask how long the person spends abroad and whether travel is planned. Some ask whether the person works from the United States or from another country. These questions help the insurer judge risk.

Health questions still apply to a fully underwritten policy. The insurer’s view of health and location may affect the decision. Issue is not automatic, and the insurer decides based on the full file.

Florida law lets an insurer rely on what an applicant says about insurable interest. Under Fla. Stat. § 627.404, an insurer may rely on applicant statements about insurable interest, and no insurer shall incur any legal liability except as set forth in the policy for untrue statements it relied on in good faith. So answers must be complete and accurate.

No country is presumed accepted or declined. Do not assume a country rule applies to your partner. Ask the insurer to review the actual facts.

Have questions about what happened?

Ask our team directly. The policy owner names the beneficiary, and the insurer’s policy form governs how that designation works. The practical questions are who owns the policy, who receives the benefit and how the insurer pays claims.

Tax treatment is a separate question. Under 26 U.S.C. § 101, amounts received under a life insurance contract are generally excluded from gross income when paid because of the insured’s death. The statute lists exceptions, including rules for transfers for value and employer-owned contracts. A CPA should review the facts before the policy is bought.

Claim payment also matters. Confirm the claim terms in the policy during the application.

Documents to Gather Before Applying

Records that show the business’s stake help answer the insurable interest question. Each record answers one part of that question. Gather formation documents for the business and ownership records. Add a written description of the partner’s role and financial statements showing the business’s reliance on that person.

Also gather identification for the insured and the signed written consent. The NAIC Life Insurance Buyer’s Guide covers questions to ask before buying life insurance, which can help you prepare.

Complete records give the insurer what it needs to review the file. Our checklist is here: key person insurance documents before issue.

Florida Businesses and Partners Abroad

Many Florida companies have owners or key staff who spend time overseas or relocate for a while.
