The business owns the policy and is the beneficiary, so the death benefit is paid to the company, not the family. The company then decides how to use the money.

This guide explains how the money reaches the business, how to list the monthly bills a company would still carry, and how that list becomes a coverage question. It is written for owners, co-owners and key employees of businesses in Florida and across the U.S., including Indian-American business owners.

What Key Person Insurance Is and Who It Protects

Key person insurance is a life insurance policy a business buys on the life of an owner or key employee. The business depends on that person’s work. The Insurance Information Institute describes it as coverage that compensates a business for financial losses caused by that person’s death or disability.

The generic product name is key person life insurance policy. Its purpose is to protect the company, not the individual’s family.

In this structure, the business is both the owner and the beneficiary. The insured person’s family is not the policy beneficiary. That difference matters when owners compare key person coverage with personal life insurance.

Florida law adds a condition before purchase. Under Fla. Stat. § 627.404, a business entity has an insurable interest in the life, body, and health of its owners, directors, officers, partners, and managers, and of its key employees or key persons (as defined in the Internal Revenue Code), if consent is obtained in writing from those key employees or persons before the insurance is purchased. The business may not retaliate against someone who declines.

Insurance is offered by Nischay Rawal, a licensed insurance agent, apart from the firm’s accounting work.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a coverage review

Schedule a coverage review

How Death Benefit Proceeds Reach the Business

When an insured dies, the insurer pays the death benefit to the business, which receives the cash. The family receives nothing from the policy unless the business passes money on through its own decisions.

Federal tax law generally keeps these proceeds out of gross income. The IRS life insurance proceeds FAQ explains this general exclusion. The rule comes from IRC § 101, which excludes amounts paid by reason of death, subject to listed exceptions.

Employer-owned policies have a limit. Key person policies owned by a company may fall under this rule, so the tax result depends on the facts.

Companies that own employer-owned life insurance contracts issued after the date of the enactment of this section must also file a yearly return under IRC § 6039I. The return shows the number of employees at the end of the year, the number of those insured, the total insurance in force, the name, address, and taxpayer identification number of the policyholder, the type of business it is engaged in, and that the policyholder has valid consent for each insured employee or, if not all consents are obtained, the number of insured employees for whom consent was not obtained.

The business, through its owners, decides how to use the cash. The policy does not direct spending. The proceeds are a cash inflow the company records in its books, and we review their tax treatment against the company’s own figures.

Why Payroll Is the Obligation Owners Plan Around First

Payroll is usually the first bill owners plan around, because wages keep coming due on the regular pay schedule. Staff still need to be paid on time.

After an owner’s death, the company’s work may slow. Clients or projects tied to that owner may pause. Revenue and payroll follow different timing, and a coverage review can look at both.

Payroll cost is more than wages. It includes employer payroll taxes and the benefits the company pays, such as health coverage. A payroll plan should count all of these, not just the take-home pay on each check.

Whether key person insurance can be used to cover payroll is a question a coverage review can address. The death benefit gives the business cash it may apply to payroll. The company sets the order of payments and decides what comes first.

Listing the Monthly Obligations a Policy Would Need to Cover

The list starts with every bill the company pays each month, taken from the company’s own records. It should not rest on a rough guess.

Typical items include:

Payroll and employer payroll taxes

Rent or lease payments

Loan payments on business debt

Insurance premiums the company pays

Recurring vendor bills, such as software and utilities

Other fixed monthly costs

A CPA sorts these items by pattern. Some costs repeat every month. Others are one-time. Separating them keeps the monthly total accurate.

The company’s accounting records, budget and debt schedule supply these numbers. If the books are behind, the list will be behind too. Clean records come first.

Have questions about what happened?

Ask our team directly. If monthly obligations total $40,000 and the owners choose six months, the figure is $240,000. This example is arithmetic only. It is not a quote, and it does not show what any insurer will issue.

The owners pick the time frame. Some companies plan for a few months while they find and train a replacement. Others want a longer runway. The right number depends on the company’s cash, its debt and how quickly it can adjust.

The amount an insurer will issue is set during underwriting. Underwriting uses the company’s figures and the insurer’s rules.

Coverage Choices That Affect the Monthly Math

Term life insurance covers a set period, while whole life insurance is designed to stay in force for a longer period. Each fits different obligations.

Term coverage can line up with a known window, such as the years a key employee’s role is most critical to the company. Whole life insurance suits a longer need. Its cash value is a separate feature, and the policy’s terms explain how it works.

Premiums can change over time. Renewal terms and age-based changes depend on the policy form, so review them before you choose a policy.

Health questions are required, and issue may depend on insurability. A person’s health history can affect whether a policy is issued and on what terms.

Partners and Owners Living Abroad

Owners or partners who live in another country can raise additional questions in a coverage review.

Other questions include who owns the policy, who is named as beneficiary, and how the company reports the contract. These points are reviewed case by case.

Our firm offers NRI life insurance for families and owners with ties abroad. The review can show how that coverage fits a company with an owner overseas.

Want to know where you stand?

Tell us about your situation and our team will walk you through the options available to you.

Request a coverage review

Request a coverage review

Talk Through Your Payroll Situation in a Coverage Review

A coverage review starts from the monthly bills your company would still carry after an owner’s death.
