A rated-up offer means the insurer will cover the person, but at a higher premium class than its standard rate. This page explains why that happens and what a business can review next.

What It Means When a Key Person Application Is Declined or Rated Up

A declined application means the insurer will not issue the policy as requested. A rated-up offer means the insurer will issue coverage, but at a higher premium than standard. Both results come from underwriting, which is the insurer’s review of risk.

Underwriting looks at the person to be insured, the amount requested, and the facts that support the request. The decision reflects how the insurer rates that risk. It is not a verdict on the business or on the value of the person to it.

Each insurer applies its own underwriting guidelines. One company may decline a request that another company rates differently. That is why one decision does not settle the business’s options.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a coverage review

Schedule a coverage review

Who Is Eligible for Key Person Life Insurance

A key person is an owner, executive or employee whose death would cause the business a financial loss. The Insurance Information Institute describes key person coverage as a way to compensate a business for that kind of loss. The business owns the policy, pays the premium and receives the death benefit.

The business must get written consent from those people before it buys the insurance. The business also may not retaliate or take adverse action against a key employee or other key person who refuses consent.

Written consent is a requirement, not a formality. The insured person must apply for or consent in writing to the contract and its terms on or before the time of entering into the contract, with exceptions for prepaid funeral contracts, group life insurance, group or blanket accident, health, or disability insurance, and certain minors younger than 15.

Insurers also look for a real link between the business and the insured person. A person with little role in the company’s results can raise questions. So can a coverage amount that does not match the business’s documented loss.

Eligibility and approval are separate questions. Meeting the insurable interest rule does not guarantee that an insurer will issue the policy.

Why Insurers Decline or Rate Up a Key Person Application

Insurers most often decline or rate up an application because of health history, age, the business’s financial records, or a weak link to the insured person.

Health history. The insurer reviews medical history, current conditions, medications and recent treatment. Its rules decide how those facts affect the decision and the premium class.

Age. Age at application affects both eligibility and premium class. Insurers set age-based pricing. Age must also be stated correctly. Florida law says that if age has been misstated, the benefit is what the premium would have bought at the correct age, based on the insurer’s rate at issue (Fla. Stat. § 627.456).

Business financial records. The insurer may ask for financial statements or tax returns. These records show the business’s exposure and whether the amount requested fits it. A request with little support can lead to a lower offer or a decline.

Insurable interest. An unclear or weak link between the business and the insured person can lead to a decline or a rated offer.

These are common factors. They are not a complete list of every reason an insurer might use.

Health Questions and Insurability: What Applicants Should Expect

Health questions are required on key person applications, and the insurer uses your answers in its decision.

Issue depends on insurability. Approval at the amount or class you asked for is not assured, even when the business has a clear need.

Answer every question completely and accurately. Your answers, and any medical records the insurer requests, become part of the underwriting file. Gaps or errors can slow the review.

Do not assume that health history will be ignored. Health history can affect whether the insurer issues the policy and at what premium.

Have questions about what happened?

Ask our team directly. The signed written consent from the insured person belongs in the file too.

The requested coverage amount should tie to a documented business loss. Our guide on measuring business loss from losing a key person walks through that math. A CPA’s view of the company’s records and cash flow can show how the business would absorb the loss.

If the file is unclear, the review can take longer. An offer may also come back rated. Clear records help the insurer see the need the business describes.

For employer-owned policies, federal law adds a reporting step. Federal law requires an applicable policyholder that owns one or more employer-owned life insurance contracts to file a return, for each year those contracts are owned, showing whether it has a valid consent for each insured employee (or, if not all consents were obtained, the number of insured employees for whom consent was not obtained).

Is Key Person Insurance Worth It?

Whether key person insurance is worth its cost depends on how much the business would lose, how it would cover that loss, and what the owners want to protect.

The purpose is simple. The policy pays a death benefit to the business, which can help it cover the financial effects of losing that person.

Tax treatment matters. Federal tax rules generally do not allow a business to deduct life insurance premiums when the business is a beneficiary of the policy (26 U.S.C. § 264).

Buy-sell funding is a separate question. Owners who have agreed on a buyout can look at buy-sell agreement insurance for that purpose.

The premium is the amount paid to keep the policy in force. It varies with age, health and the insurer’s rating.

Options to Review After a Declined or Rated-Up Decision

Start by getting the insurer’s reasons and having your agent explain them in plain words. The NAIC Life Insurance Buyer’s Guide covers how much coverage to buy and the questions to ask before buying.

Then check whether the amount, the insured person and the policy type still fit the documented need. Depending on the goal, the business may look at term life insurance or whole life insurance. Owners with estate goals may also review estate planning life insurance.

Any replacement or new application is a separate decision. Whether replacing an existing policy makes sense depends on the details of each policy.

Keep copies of the decision letter and every document you sign.

No outcome can be promised after a decline or rate-up. That includes approval at standard rates.

Talk Through Your Key Person File With Our Team

If your key person application was declined or rated up, the next step is a coverage review of the file.

Frequently Asked Questions
<details class="wp-block-details chg-faq is-layout-flow wp-block-details-is-layout-flow">
Can a business still get key person coverage after a decline?

A decline is one insurer’s decision on one request.
