The insurer sets that number through underwriting, after reviewing the business, the person insured and the purpose of the money. So the answer to how much key person insurance can a business get is the amount the insurer decides, based on the facts it reviews. This page explains what insurers look at and why. A worked example shows how the amount is built.

Key person insurance is a life insurance policy that a business owns on someone whose work or knowledge it depends on. Nischay Rawal, a licensed insurance agent, handles insurance matters at NR CPAs & Business Advisors, a Miami CPA firm. Insurance is offered separately from the firm’s accounting practice.

What Key Person Insurance Is and Why the Face Amount Matters

Key person insurance pays the business when a key owner or employee dies. The business is the beneficiary. The Insurance Information Institute describes key person life or disability insurance as compensation for a business’s financial losses caused by a key employee’s death or disability.

The face amount is the death benefit printed on the policy. It decides how much money the business can receive. Choosing the right figure is the hard part.

The insurer sets that figure during underwriting. Underwriting is the insurer’s review of the request before it issues a policy. Two businesses can insure the same person and receive different face amounts, because each request rests on different facts. For the full overview, read key person insurance.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a coverage review

Schedule a coverage review

What Insurers Look at First: The Business’s Financial Statements

Insurers start with the business’s financial statements, mainly the income statement and the balance sheet. The income statement shows revenue, costs and profit over a period. The balance sheet shows what the business owns and owes on a given date. Together, they show the company’s size, its debts and its stability.

Debt often drives the conversation. If the business owes a bank a large loan, the owners may want enough coverage to repay it if the key person dies. The balance sheet makes that loan visible. It also shows whether the company has cash to handle a loss.

Owners often keep these statements in scattered or older form. A CPA can help gather and organize them before a coverage review. Insurance itself is offered by the licensed agent, separately from the accounting work.

How the Key Person’s Contribution Is Measured

Insurers want to see what the person actually adds to the business. Start with revenue the person brings in directly, such as sales they close or accounts they manage. Add contracts that depend on them, hard-to-replace skills, and relationships that customers or lenders rely on.

Salary is only part of the story. A sales leader may earn a modest salary but bring in most of the company’s largest contracts. The wider effect of that person’s absence matters more. That includes lost sales, delayed projects, weaker lender confidence and the cost of finding someone who can do the work.

Write the contribution down in dollars, and note how each figure was estimated. A figure with a clear source is easier to explain to the insurer. For a deeper look, read valuing a key employee.

Matching the Purpose of the Coverage to the Amount

The purpose of the policy drives the amount. Owners usually want money for one or more of three jobs. They may repay business debt, cover lost revenue during a transition, or pay to recruit and train a replacement.

List each purpose in dollars, then add them up. This turns a general worry into a figure the owners can explain line by line. It also shows the insurer that the request has a clear reason behind it.

A bigger purpose does not automatically mean a bigger policy. The insurer weighs the request against the facts it reviews, including the business’s finances and the insured person’s health. A clear purpose gives the conversation a starting point. The insurer still makes the decision.

Have questions about what happened?

Ask our team directly. It is an illustration only. It is not a quote or a prediction.

Suppose the company owes a bank $300,000. Its top sales leader brings in accounts. The owners estimate the lost profit from those accounts at $250,000 over the 18 months it would take to rebuild them. Recruiting and training a replacement is estimated at $60,000.

Step one: add the debt to be repaid, $300,000. Step two: add the estimated lost profit, $250,000. Step three: add the replacement cost, $60,000. The total is $610,000.

Two points matter here. First, the owners should count lost profit, not gross sales. The company still pays costs when those sales stop. Second, the $610,000 is a starting point for discussion. It is not an amount the insurer has approved. The insurer decides the final face amount for the real person and the real business.

Why the Insurer Makes the Final Decision

The insurer makes the final call through its underwriting. That review includes the insured person’s health. Health questions are required, and issue may depend on insurability. The person’s health can change the amount an insurer will issue, or whether it issues a policy at all.

Florida law also sets a rule the business must follow. Under Fla. Stat. § 627.404, a business entity has an insurable interest in its owners, directors, officers, partners and managers, and in key employees or key persons, if it obtains written consent from them before the insurance is purchased. For this rule, a ‘key employee’ or ‘key person’ means someone whose position or pay is described in s. 101(j)(2)(A)(ii) of the Internal Revenue Code. The business may not retaliate against a key employee who does not consent.

The same statute lets an insurer rely on what the applicant says about insurable interest. It also limits the insurer’s liability, for untrue statements about insurable interest that the insurer relied on in good faith, to what the policy sets out. Accurate statements and documents matter. The owners’ stated purpose and financial records are inputs to the decision. They are not guarantees that a requested amount will be issued. For planning around an owner’s own absence, see owner out of work.

Funding the Premiums and Cash Flow Considerations

The business or the owner pays the premiums. Premium size depends on the insured person and the policy, so this page does not quote one.

Cash flow is where the CPA view helps. Before buying, owners should decide which account will pay premiums each year. They should also test whether the company can keep paying through a slow season. Owners with income or accounts outside the United States may need extra planning. See premiums from a foreign account.

Tax treatment matters too. Under 26 U.S.C. § 101(a), gross income generally does not include amounts received under a life insurance contract if they are paid by reason of the insured’s death, except as otherwise provided in other subsections of that section. Whether proceeds count toward an estate follows a separate rule. The CPA view covers how the business’s premium payments are treated. Questions about the policy itself go to the licensed agent.

Want to know where you stand?

Tell us about your situation and our team will walk you through the options available to you.

Request a coverage review

Request a coverage review

Bringing the Question to a Coverage Review

If losing one key person would strain payroll, lenders or customers, your next step is a coverage review.
