The business owns the policy, pays the premiums and receives the death benefit. For key person insurance for an owner who travels abroad, the application and paperwork need more care, but the purpose stays the same.

What Key Person Insurance Is and Who It Fits

Key person life insurance helps a business keep running when someone it depends on dies. The Insurance Information Institute describes it as compensation for financial losses a business suffers from the death or disability of a key employee.

Owners often ask this question when their skills, client relationships or decisions rest with one person. That person may live or travel far from the office. This page is written for:

Owner-operators who want the company protected if they die.

Shareholders in a closely held company.

NRI owners and Indian-American business families with ties to the United States and abroad.

Co-owners researching coverage for a partner.

Key person coverage is one part of continuity planning. It does not replace a written buy-sell agreement, which sets how an owner’s share changes hands. For the broader overview, read our key person insurance guide.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a coverage review

Schedule a coverage review

What the Coverage Pays and What Is Included

The policy pays a lump sum to the business when the insured dies. The business decides how to use the money. Common uses include covering lost revenue, recruiting a replacement or repaying debt.

Two common policy types work differently:

Term life insurance covers the insured for a set period.

Whole life insurance covers the insured’s lifetime and builds cash value.

The NAIC Life Insurance Buyer’s Guide explains term and permanent coverage, riders and questions to ask before buying.

A policy contract lists the face amount, the premium and payment period, the owner, the beneficiary and any riders the insurer offers. For whole life, guaranteed values and non-guaranteed values appear separately. Dividends, where a policy pays them, are not guaranteed. Illustrations show their assumptions and limits next to every figure.

Set the face amount from a documented estimate of the business’s loss. Review that estimate with the owner’s CPA before you pick a number.

How Living or Traveling Abroad Affects Underwriting and Paperwork

Residence and travel questions appear on the application. The answers feed underwriting, which is the insurer’s review of risk before it issues a policy. Answer every question accurately and completely.

Paperwork that often comes up for foreign nationals and non-resident owners includes:

Identification and proof of residence.

A taxpayer identification number.

Medical records held outside the United States.

Entity documents showing ownership percentages and officers.

Health questions are required, and issue may depend on insurability. The insurer sets any medical exam requirement, including whether it can be arranged abroad.

Insurable interest also matters. Under IRC § 101(j), when an employer owns a policy on an employee’s life, the amount the employer may exclude from income is generally capped at the sum of the premiums and other amounts it paid for the contract. For an employer-owned life insurance contract, that limit does not apply to certain listed exceptions, including some based on the insured’s status with respect to the policyholder, when the notice and consent requirements are met before the contract is issued, including the employee’s written consent to being insured and to coverage possibly continuing after employment ends (IRC § 101). The requirements are that the employee was notified in writing of the employer’s intent to insure the employee’s life and of the maximum face amount, gave written consent, and received written notice that the employer would be a beneficiary of the proceeds. The exceptions are based on the insured’s status or on who receives the proceeds. Ownership and beneficiary details should match the company’s documents and the owner’s residency facts.

The firm cannot promise an underwriting decision, rate class or issue date.

How the Coverage Review and Process Works, Step by Step

The process starts with a coverage review and moves through five steps. Timelines depend on the insurer and the file, so no timeline is guaranteed.

Coverage review. We talk through the owner’s role, residence, travel pattern and the company’s structure.

Gather facts. The insurer will ask for entity documents, ownership percentages, identification and health history.

Compare options. Policy options are shown with their limits beside each figure. Any specific policy names its insurer.

Apply. The application covers residence, travel and health. If an existing policy is involved, replacement forms are completed with the application.

Underwriting and issue. The insurer may add requirements, including records from abroad. Renewability, cancellability and any age-based change depend on the policy form.

The CPA View: Premium, Death Benefit Tax Treatment and Cash Flow

Premium deductibility and the tax treatment of a death benefit depend on the policy type, the owner and beneficiary structure, and the company’s tax filing. This page offers general information to start the discussion.

Under IRC § 101, proceeds paid because of the insured’s death are usually left out of taxable income. For an employer-owned life insurance contract, however, the exclusion cannot exceed the premiums and other amounts the policyholder paid for the contract, and other exceptions are set out in the section.

Under IRC § 264, no deduction is allowed for interest paid or accrued on indebtedness with respect to life insurance policies the taxpayer owns, subject to the exceptions in the section.

Premium payments affect business cash flow. We can model the payment schedule against the company’s budget, debt and buy-sell funding. Key person coverage should match the purpose of the buy-sell agreement, so the two documents line up. A CPA’s view of the accounts and tax position helps set the face amount and the ownership structure.

Any fee for the coverage review or for accounting work is set out in writing before engagement, with every variable listed.

Why Work With Our Team and How Insurance Is Offered

NR CPAs & Business Advisors is a Miami CPA firm.
