The company owns the policy, pays the premiums, and receives the death benefit if the key person dies while the policy is in force. A move abroad adds questions about underwriting, premium payments, and U.S. tax and consent rules. This page explains those questions in plain words, so a business owner knows what to review before applying or after a move.

What Key Person Insurance Is and Who It Covers

Key person insurance is a life policy that a company buys on someone whose loss would hurt the business. The company is the owner and the beneficiary, and the insured person is the key person.

The Insurance Information Institute explains that a key employee is someone whose loss would cause financial harm to the business. Coverage pays the business for losses caused by that person’s death or disability.

Common key persons include:

Owners and founders

Senior executives

Employees who bring in much of the revenue

Specialized talent the business cannot easily replace

Many people search for “keyman insurance.” It describes the same company-owned coverage under a different name.

Florida law sets rules before the policy starts. A business entity has an insurable interest in the life, body, and health of its owners, directors, officers, partners, and managers, or of any affiliate or subsidiary, or of its key employees or key persons, if it obtains written consent from those key employees or persons before buying the insurance. The business may not retaliate against a key person who refuses consent. Stat. § 627.404.

Most key person policies are whole life or term life insurance. The NAIC Life Insurance Buyer’s Guide explains the difference between term and permanent coverage.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a coverage review

Schedule a coverage review

Why Living in India Changes Underwriting and Paperwork

Living in India does not change why the policy exists. It changes how the insurer checks the owner and how premiums are paid.

Health questions are required. The insurer reviews the owner’s health. Issue may depend on insurability.

Residence and travel. The insurer may ask about the owner’s current country of residence, travel plans, and where any medical exam can be done.

Premium logistics. A U.S. company paying from a U.S. account should confirm the currency, the payment method, and whether the insurer accepts payments from that account.

Citizenship and residence. For the employer-owned life insurance rules, an “insured” is someone covered by the contract who is a United States citizen or resident. See 26 U.S.C. § 101. See 26 U.S.C. § 101.

That definition is why citizenship and residence status belong in the review. Key person insurance when owner lives in India needs the same check of ownership and purpose as any policy, plus these added steps. Before applying, the agent reviews the insurer’s residence rules. After issue, a change in residence should be reviewed too.

What the Policy Pays and How the Company Can Use It

The death benefit is paid to the company, and the company decides how to use the money.

Common uses include:

Covering lost revenue while the business adjusts

Recruiting and training a replacement

Meeting obligations to lenders or partners

The face amount should match the company’s real losses. Sizing the coverage is a separate planning step, and the agent walks through it during the coverage review.

The benefit is paid only if the insured dies while the policy is in force, under the policy’s terms and exclusions.

An incontestability clause only stops challenges to whether the policy is valid. Insurers can still rely on exclusions and restrictions in the policy. See Fla. Stat. § 627.463.

Key person coverage can sit beside buy-sell agreement insurance when owners’ interests are involved. The two cover different needs.

Tax and Estate Points to Review With a CPA

Federal law generally does not allow a deduction for premiums on a life policy when the taxpayer is a beneficiary. See 26 U.S.C. § 264.

Under the general rule, life insurance death benefits are not counted as income, but for an employer-owned policy that exclusion is generally limited to the premiums and other amounts paid by the policyholder, unless the notice and consent requirements of 26 U.S.C. § 101(j)(4) are met and an exception applies. See IRS guidance on life insurance proceeds for the general rule.

Employer-owned policies carry extra rules:

See 26 U.S.C. § 6039I.

The company must keep records showing whether those requirements are met.

Under 26 U.S.C. § 6039I(a)(5), the annual return that the policyholder files for its employer-owned life insurance contracts must show that it holds a valid consent for every insured employee. If not all such consents were obtained, the return must instead show how many insured employees it lacks consent for. See 26 U.S.C. § 101.

Company ownership does not always keep proceeds out of the owner’s estate. See 26 U.S.C. § 2042.

For estate tax purposes, life insurance proceeds receivable by other beneficiaries are included in the gross estate if the decedent possessed at his death any of the incidents of ownership, exercisable alone or with any other person.
