The company pays the premiums and receives the death benefit. Below is a general overview of how this arrangement typically works and what to consider before buying.

What key person insurance is and who it fits

Key person insurance is a life policy a business buys on the life of someone whose loss would hurt the company’s finances. The company is the owner and beneficiary, and the insured is the employee. The Insurance Information Institute explains that this coverage compensates a business for financial losses caused by a key employee’s death or disability.

It fits businesses where a few client relationships carry a large share of contracts or renewals. Picture a firm whose largest accounts renew because one account executive holds the buyer’s trust. If that person dies, the company may lose renewals, pipeline and cash flow at the same time.

This page covers the sales-role case. Ownership transfer and succession cases are different, and they connect to our buy-sell agreement insurance and related practice areas.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a coverage review

Schedule a coverage review

Why a salesperson’s client relationships create an insurable interest

A business can buy this policy only when it has an insurable interest. That means a real financial stake in the person’s continued life. Florida law lets a person have an insurable interest in another person’s life where there is an expectation of a substantial pecuniary advantage through that person’s continued life, health, and safety, and a consequent substantial pecuniary loss from that person’s death, injury, or disability (Fla. Stat. § 627.404). That test describes an individual’s interest, and a business that buys coverage on a key person is governed by a different provision of the statute.

A general employee’s work can often pass to someone else. A rainmaker holds named accounts and personal trust, and clients may not renew without that person. That difference is what the business must be able to show.

Records that may help document a business’s connection to a key person, although the statute does not list them, usually include:

Revenue share from the accounts the person manages

Pipeline concentration in a small number of relationships

Contract terms or renewals tied to that individual

A friendly relationship alone is not enough. Florida treats a key person as someone whose position or compensation is described in s. 101(j)(2)(A)(ii) of the Internal Revenue Code, and it requires the key person’s written consent before the insurance is purchased. Florida requires the insurable interest to exist when the contract is made. It need not continue after coverage begins.

What the policy covers and what the company receives

The policy pays a death benefit to the company, and the company decides how to use it. Proceeds may help cover recruiting a replacement, transition costs or cash flow while accounts move to other people. The policy does not replace lost sales and does not guarantee any level of revenue.

The company pays the premiums. The face amount should match a need the business can write down, such as estimated revenue at risk during a transition period.

Term life covers a set number of years. Whole life lasts for the insured’s life and builds cash value. Each type has its own limitations, exclusions, and renewal or age-based terms. Read those terms in the policy before you decide.

If a whole life policy pays dividends, those dividends are not guaranteed. Guaranteed and non-guaranteed values are shown separately, so you can tell them apart.

How the policy is set up and documented

Florida law requires that consent. Follow these steps:

Identify the salesperson and the revenue tied to his or her client relationships.

Write a memo describing the business interest. Record it in owner or board minutes.

Obtain written consent from the key person before the insurance is purchased. A business entity may not retaliate or take adverse action against a key employee or key person who does not consent to the insurance on their life (Fla.
