The business needs a real stake in that spouse’s life, and the spouse must agree in writing before the policy is bought. This guide explains how key person insurance on spouse in family business settings usually works, and what to settle first. It is general information, not a plan for your specific facts.

When a Spouse Is the Person the Business Depends On

A spouse often carries more of a family firm than the title shows. Common roles include running daily operations, managing key customer or supplier relationships, and holding a professional or state license the business needs. If that person dies, the business can lose sales, contracts or the right to do certain work.

Think about a spouse who handles the firm’s main supplier contracts. If that person is gone, the business may need time and money to rebuild those ties. The policy helps the business through that gap. It is not meant to replace family income.

Key person insurance is a whole life or term life insurance policy that a business can own to help cover that financial loss. The policy follows the company’s role, not the household budget. For the broader coverage type, read our key person insurance guide.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a coverage review

Schedule a coverage review

What Insurable Interest Means for a Business Insuring a Spouse

Insurable interest means the buyer has a real financial reason to want the insured to keep living. For a business, that reason is the financial loss it would suffer if the key person died. Florida law sets this rule in Fla. Stat. § 627.404.

The statute lets a business entity insure the life of an owner, officer, manager or key person. Fla. Stat. § 627.404 addresses cases where consent is obtained in writing from the key employees or persons before the insurance is purchased. The key person must consent in writing before the insurance is bought. The business may not retaliate against anyone who refuses consent.

Look at the spouse’s actual duties on paper, such as job descriptions, signing authority or license records. For insuring another person, Florida’s general test asks whether the buyer expects a substantial financial advantage from that person’s continued life. The insurable interest only needs to exist when the contract is made. The insurer will also review the stated role and the business’s financial exposure during underwriting.

Who Should Own, Pay For and Receive the Policy

Three roles matter most: the owner, the insured and the beneficiary. The owner controls the policy. The insured is the person whose life is covered. The beneficiary receives the death benefit. In many family firms, the business is the owner and beneficiary, and the spouse is the insured. Each role changes the tax and cash-flow picture.

Spouses who co-own a business often ask whether the company or a personal owner should hold the policy. Business ownership keeps the policy tied to the company. A personal owner can change who controls the policy. It also changes what happens if the marriage or ownership structure changes. Settle that question before the policy is issued.

Tax results depend on how the policy is owned and who the beneficiary is. Federal law generally excludes death benefits from gross income. It also has exceptions for business-related policies. See 26 U.S.C. § 101. Review the beneficiary line together with the ownership choice, because the two work together.

Estate rules add another layer. Section 101 generally excludes from gross income amounts received under a life insurance contract paid by reason of the death of the insured, except as otherwise provided in paragraphs (2) and (3), subsection (d), subsection (f), and subsection (j) of that section. Estate inclusion is a separate rule in 26 U.S.C. § 2042: proceeds can be included in a decedent’s gross estate when the decedent held incidents of ownership at death. See 26 U.S.C. § 2042. Under 26 C.F.R. § 20.2042-1, incidents of ownership held by a corporation are attributable to a decedent through his stock ownership only in certain circumstances, which the regulation sets out in a separate subparagraph. See the federal attribution rule. A CPA-led coverage review maps these effects against the firm’s cash flow.

Underwriting and Health Questions for the Insured Spouse

A fully underwritten policy requires health questions, and issue may depend on insurability. The insurer reviews the application. It can request medical records or an exam before it decides. The answers affect whether a policy is offered and on what terms. Underwriting can take time, because the insurer may need records from doctors.

The insured spouse should expect questions about medical history, medications and recent treatment. Answers must be complete and accurate. Florida law also requires every insurance contract to adjust the benefit if the insured’s age or sex was misstated. See Fla. Stat. § 627.456. The benefit then equals what the premium would have bought at the correct age or sex.

Before buying, read the renewability, cancellability and age-based change terms in the policy itself. Those terms decide how the coverage may change over time.

Have questions about what happened?

Ask our team directly. Ask what share of revenue, client relationships or licensed work depends on that person. Ask whether the business carries debt that the spouse’s work supports. Ask how the business would pay premiums during a slow year. Payment plans should match the firm’s cash flow.

Next, check any buy-sell agreement. A buy-sell agreement sets terms for an ownership transfer. Key person coverage and buy-sell coverage serve different purposes, so review them together. Florida-specific context is on our Florida key person page.

Borrowing against a policy raises tax questions. Federal law carves interest on key person policy debt up to $50,000 out of one disallowance rule, under stated conditions. See 26 U.S.C. § 264. Check the loan terms and the tax treatment before borrowing.

Finally, record the spouse’s role, the policy’s purpose and the signed written consent in the business records. That makes the financial reason for coverage clear.

How the Coverage Review Works With Your CPA-Led Business Planning

Nischay Rawal, a licensed insurance agent in Florida, offers insurance separately from the firm’s accounting practice. Florida requires an agent to be currently licensed and appointed before acting as one.
