The company pays the premiums, owns the policy, and receives the death benefit if that person dies. This page explains how the policy works, what shapes its cost, and how federal tax rules affect the decision. It is written for Florida business owners, including Indian-American owners and NRI shareholders.

What key person insurance is for a C corp

Key person insurance is life insurance a company buys to protect itself if a key owner or employee dies. A key person is someone whose skills, client relationships, or role in financing would be hard to replace. The Insurance Information Institute guide explains that this coverage compensates a business for financial losses caused by a key employee’s death.

For certain tax purposes, federal law defines a key person as an officer or 20-percent owner (IRC § 264). This page covers C corporations only. S corporations and LLCs can follow different ownership and tax paths.

NR CPAs & Business Advisors helps owners compare term life insurance, whole life insurance, and key person insurance. We describe each policy by its generic type and explain how it fits the company’s books. Owners often start with one question: would the company really lose money if this person died? That is a business question, and the CPA can help test it against the company’s revenue, loans, and plans.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a coverage review

Schedule a coverage review

Who can be insured and what the insurer reviews

Florida law sets this rule for business-owned policies. A business may insure an owner, officer, or key employee only with that person’s written consent, given before the policy is bought (Fla. Stat. § 627.404). The business may not retaliate against a key employee who refuses.

The company also needs an insurable interest. In plain words, it must have a real financial stake in that person’s continued life.

Most policies are fully underwritten. Health questions are required, and issue may depend on insurability. The insurer may also weigh age and the amount of coverage requested.

Who is not eligible? Coverage can be declined or limited when health history, age, or the insurer’s underwriting rules do not fit the case.

Before a coverage review, gather four things: the person’s role and pay, a summary of company financials, existing business loans, and any shareholder agreement.

Ownership, premiums, and what drives the cost

The C corporation usually owns the policy, pays the premiums, and names itself as beneficiary. That setup keeps the death benefit with the business.

Ownership can change later. If a shareholder leaves or the policy moves, the owner, payer, or beneficiary may change too. Each change can carry tax results, so review it before it happens.

Cost is shaped by five main drivers: age, health, face amount, term length, and policy type. Term life insurance covers a set period. Whole life insurance is permanent and builds cash value. The NAIC Life Insurance Buyer’s Guide explains the difference between term and permanent coverage and the questions to ask before buying.

For a whole life policy, ask for guaranteed and non-guaranteed values shown separately. Dividends, where a policy offers them, are not guaranteed. The Florida Department of Financial Services guide explains cash value and policy loans in plain words.

Finally, fit the premium into the company’s annual budget before applying. The CPA can review the payment schedule against cash flow and the company’s plan.

The death benefit and how proceeds can be used

The death benefit is paid to the company, not to the family. The company decides how to use the money, within its governing documents and loan terms.

Common uses include:

Repaying business loans or lines of credit

Covering a transition period while the company finds a replacement

Recruiting and training a successor

Funding a buy-sell arrangement

Each use is an option, not a promised result. The company chooses which obligations to address.

Face amount sizing means linking the death benefit to the obligations it may need to cover, such as a loan balance or a transition budget. No single formula fits every company. A coverage review can test the numbers against the company’s own records.

If the policy supports a buy-sell arrangement, the buyout terms should match the shareholder agreement. A CPA can check that the two documents fit together.

Have questions about what happened?

Ask our team directly.
