The application must still meet rules on insurable interest, written consent and underwriting. This guide explains each step for business owners and partners, including Indian-American owners with staff or partners abroad.

The Short Answer: Citizenship Is Not the Whole Test

A business can apply for key person coverage on a key employee who is not a U.S. citizen. First, the business needs an insurable interest in that person’s life. Second, the employee must consent in writing. Third, the insurer must decide to issue the policy after its underwriting review.

Citizenship mostly shapes the paperwork and the questions. It does not replace these three gates. Florida’s key person rule is in Fla. It turns on the business’s interest, the employee’s consent and the employee’s role.

Underwriting is the insurer’s decision, not this firm’s. This page explains the process. It does not promise that any policy will issue.

If your key employee lives abroad and a lender wants coverage, contact our team to set up a coverage review. That person is often a founder, a top salesperson or the head of operations. The Insurance Information Institute describes key person life insurance as a way to compensate a business for losses caused by an employee’s death or disability.

Three roles make up the structure. The policy owner is usually the business. The insured is the key employee. The beneficiary is usually the business too. The business collects the death benefit if the insured dies while covered.

This differs from personal life insurance. An individual buys personal coverage to protect his or her own family. Key person coverage protects the business’s plans and cash flow. The business, not the employee’s family, is normally the one that collects.

Insurable Interest: Why the Business Can Be the Beneficiary

The business can name itself as beneficiary when it has an insurable interest in the key person’s life. Florida law says a business entity has that interest in key employees or key persons. The business must get their written consent before it buys the insurance. Fla. Stat. § 627.404 sets out this rule.

Timing matters. The insurable interest must exist when the contract is made. It need not exist after coverage starts, under the same statute. That helps businesses that change over time.

What counts as a loss? The business entity has an insurable interest in its owners, directors, officers, partners, managers, or key employees, or in those of any affiliate or subsidiary of the business entity, if consent is obtained in writing from the key employees or persons before the insurance is purchased. The section does not require the business to show a financial loss from losing the person. Common examples include:

Revenue tied to a key client relationship the person manages.

The cost of recruiting and training a replacement.

A loan covenant or investor term that names the person.

Write the business case down before you apply. A short memo on the role, the revenue at stake and the replacement cost gives a clear record. Florida’s rule also ties “key employee” to a position or pay level described in federal tax law, so document the role too.

The Employee’s Written Consent and Who Controls the Policy

The key employee must consent in writing before the business buys the coverage. The Florida statute requires this for contracts on a person’s life. A signed application generally counts as that written consent.

The business cannot punish someone who says no. The same statute bars a business from retaliating against or taking adverse action against a key employee who does not consent. Plan for that before the conversation starts.

Set up ownership and beneficiary designations with care. In the usual structure, the business owns the policy and is the beneficiary. If ownership moves later, review the change before it happens. A change can affect the tax picture and the insurable-interest record.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a coverage review

Schedule a coverage review

How a Non-Citizen or NRI Employee Changes the Application

For a non-citizen or NRI employee, insurers often ask for more identity and residence details. Expect requests for passport details, proof of identity and the country where the employee lives. Insurers differ in which countries they will cover, so the answer varies by carrier.

The health and job questions are the same ones asked of any insured person. Age, health history and job role all go into underwriting. Issue turns on the insurer’s review, not on citizenship alone.

Immigration status is a separate matter. Work authorization and visa rules are not part of the insurance application. The application reviews insurance facts.

Residency also matters for tax. A non-citizen who lives abroad needs a separate tax review before the business applies. See IRC § 101.

Tax Treatment and the CPA View on Premiums and Proceeds

Premiums are generally not deductible when the business is the beneficiary. IRC § 264 denies a deduction for premiums on a life policy when the taxpayer is directly or indirectly a beneficiary. So the premium is mainly a cash-flow cost.

Estate tax is a separate question. The IRS says life insurance proceeds on a nonresident noncitizen’s life are generally treated as outside the United States for estate-tax purposes.

Employer-owned contracts carry an annual reporting duty. IRC § 6039I requires a return showing employee counts, insurance in force and whether valid consent is held for each insured employee. Keep those records from the start.

Our team looks at how the premium fits the cash flow and how the proceeds would be used. Tax results depend on the facts of the business and the policy. Insurance is offered by the licensed agent, separately from the accounting practice. If the firm accepts a commission for the sale of a product or service to a client, Fla. Stat. § 473.3205 requires the firm to disclose that fact to the client in writing, in accordance with rules adopted by the Board of Accountancy. Any accounting work is set out in its own written engagement letter.

Connecting Key Person Coverage to Loans and Investor Agreements

A lender or investor may require key person coverage as a condition of a loan or deal. When that happens, the policy amount, the owner and the beneficiary should match the agreement’s terms. A mismatch can leave a gap when the coverage is needed.

Buy-sell and shareholder arrangements are another common use. Key person proceeds can help fund a buyout. Under Fla. Stat. § 607.0732, a shareholder agreement authorized by that section must be noted conspicuously on each share certificate or on the information statement for uncertificated shares.

Read the agreement language before relying on a policy to meet it. Review the wording with the people who drafted the agreement. Then confirm the policy matches its terms.

Next Step: Bring Your Business Facts to a Coverage Review

If your key employee is not a U.S. citizen or lives abroad, and a lender or partner wants coverage, a coverage review is the right first step.
