For a Florida single owner LLC, that person is usually the owner, because no co-owner can step in. This page explains how the coverage works when one person owns and runs the whole company, and what a CPA looks at on the tax and cash-flow side.

What key person insurance is and who it fits

Key person insurance is a life insurance policy that a business owns on a person whose death would hurt the company’s income. The business pays the premiums and receives the death benefit. In a one-owner business, the owner is usually the key person, since the owner’s clients, signature and daily work often are the business.

A single-member LLC has one owner, called the member. That owner is usually the insured. The policy owner, insured and beneficiary should be set up with that structure in mind. If the LLC owns the policy, the LLC collects the benefit. If the owner holds the policy personally, the tax picture changes, as covered below.

Many one-owner businesses start as sole proprietorships. A sole proprietorship has no separate legal entity, so the owner’s personal policy is often the starting point. Forming an LLC later can change who should own the coverage.

This coverage fits best when a spouse, parent or partner depends on the owner’s income from the business. It also fits when a lender relies on the owner personally.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a coverage review

Schedule a coverage review

What the coverage pays for and how it is structured

The death benefit is the lump sum the insurer pays to the beneficiary the policy names. The business decides how to use it. Common uses include covering lost profit during a transition, paying down a business loan, and keeping bills and payroll current while a buyer or successor is found.

Loans are a common pressure point. Many business loans include a personal guarantee, which makes the owner personally responsible for the debt. Florida law says a promise to answer for another person’s debt must be in writing and signed before a lawsuit can be brought on it (Fla. Stat. § 725.01). Coverage can give the business cash to address that debt, so check the loan papers first.

Term life covers a set number of years, such as the years a loan is outstanding. Whole life is permanent and builds cash value. The NAIC Life Insurance Buyer’s Guide explains the difference between term and permanent coverage. If a whole life policy pays dividends, those dividends are not guaranteed. Guaranteed and non-guaranteed values are shown separately.

Coverage on the owner requires health questions and underwriting. Issue and premium depend on insurability.

How the process works, step by step

The process starts with a coverage review and moves through five steps.

Coverage review. You share the entity type, the owner’s role, loan obligations, revenue that depends on the owner, and family goals.

Set the amount. Use documented figures: annual profit, outstanding debt, and the months of income the business needs. Each assumption is stated in writing.

Choose the structure. Pick term or whole life. Match the owner, insured and beneficiary to the LLC or sole proprietorship. Florida law requires the insured’s written consent to the contract and its terms, given on or before the time the contract is entered, for an individual insurance contract on a person other than a prepaid funeral policy, group life insurance, or group or blanket accident, health, or disability insurance (Fla. Stat. § 627.404). Fla. Stat. § 627.404 reads: “(5) A contract of insurance upon a person, other than a policy of prepaid funeral contract; group life insurance; or group or blanket accident, health, or disability insurance, may not be carried out unless, on or before the time of entering into such contract, the person insured, having legal capacity to contract, applies for or consents in writing to the contract and its terms, except that any person having an insurable interest in the life of a minor younger than 15 years of age or any person upon whom a minor younger than 15 years of age is dependent for support and maintenance may obtain a policy of insurance on the minor.”

Application and underwriting. The application includes health questions. The insurer decides issue and premium, which can take several weeks based on the insurer and the file.

Delivery and review. Read the policy when it arrives and note the post-issue review period in the Florida DFS life insurance guide. Revisit the coverage when revenue, debt or family goals change.

Tax and cash-flow questions a CPA can help you think through

Under 26 U.S.C. § 101, amounts paid by reason of death are generally excluded from gross income, but the transfer-for-value rule can limit that exclusion. For employer-owned life insurance contracts, such as a key person policy owned by a business, § 101(j) generally caps the excluded amount at the sum of the premiums and other amounts paid by the policyholder for the contract. Under IRC § 101(a), and except as otherwise provided in paragraphs (2) and (3), subsection (d), subsection (f), and subsection (j) (such as transfers for valuable consideration), gross income does not include amounts received (whether in a single sum or otherwise) under a life insurance contract if such amounts are paid by reason of the death of the insured (26 U.S.C. § 101).

Premiums follow a different rule. Under 26 U.S.C. § 264, premiums a business pays on a policy it will collect from are generally not deductible.

Under 26 U.S.C. § 2042, the gross estate includes the amount other beneficiaries receive as insurance under policies on the decedent’s life if the decedent held, at death, any incident of ownership, exercisable alone or with another person; this is an estate-tax inclusion rule, not an income-tax exclusion. IRC § 2042(2) reads: “To the extent of the amount receivable by all other beneficiaries as insurance under policies on the life of the decedent with respect to which the decedent possessed at his death any of the incidents of ownership, exercisable either alone or in conjunction with any other person.” IRC § 2042 reads: “For purposes of the preceding sentence, the term “incident of ownership” includes a reversionary interest (whether arising by the express terms of the policy or other instrument or by operation of law) only if the value of such reversionary interest exceeded 5 percent of the value of the policy immediately before the death of the decedent.”

On cash flow, premiums are a recurring cost. Compare each payment with the protection it buys and the loan balance it may cover. Tax rules change, and the treatment turns on your entity and filing status, so confirm it in the coverage review.

Have questions about what happened?

Ask our team directly.
