When that person lives outside the United States, the purpose stays the same, but the paperwork, underwriting, and premium payments get harder to manage. This guide walks through those decisions for a key person insurance owner living abroad, in plain words.

What Key Person Insurance Covers When the Owner Lives Abroad

Key person insurance is life insurance a business owns on an owner or key employee whose work or decisions matter to the company. The Insurance Information Institute describes a key employee as someone whose position or pay makes that person important to the business. If that person dies or becomes disabled, the policy helps the business absorb the loss.

Living abroad does not change that purpose. A Miami company whose founder spends half the year overseas has the same exposure as one whose founder never leaves. What changes is the application, the underwriting questions, and how premiums get paid.

Every key person case has three roles. The insured is the person whose life is covered. The policy owner controls the contract. The beneficiary receives the death benefit. These are often three different parties, and the owner’s residence does not change that structure.

Nischay Rawal is a licensed insurance agent in Florida. Florida requires an agent to hold a current license and be appointed by an appropriate appointing entity before offering insurance, under Fla. Stat. § 626.112. Insurance is offered through the licensed agent, separately from the accounting practice of NR CPAs & Business Advisors, a Miami CPA firm.

If you decide to move forward, we help you organize the application and the consent documents. That differs from a personal policy, where an individual owns the coverage and names family as beneficiaries. The business carries the financial risk, so the business usually holds the contract.

Florida law sets a consent step first. Under Fla. Stat. § 627.404, a business has an insurable interest in its owners, directors, officers, partners, and managers, or in those of an affiliate or subsidiary, and in key employees or key persons, if it gets written consent from that person before the insurance is bought. The same statute bars the business from retaliating against a key person who refuses consent. Get the signed consent before any application goes in.

Ownership and beneficiary choices also interact with a buy-sell agreement. If the company has one, the policy may be tied to how an owner’s interest changes hands. These choices can carry tax and estate effects. Our team reviews them with the CPA side of the firm, and the licensed agent handles the insurance side, before anything is applied for.

How Residence Outside the U.S. Can Affect Underwriting

Living abroad can affect how a carrier underwrites the policy, but it does not remove the health questions. A fully underwritten policy requires health questions, and issue may depend on insurability.

Carriers ask different questions. An underwriter may ask about travel, the country of residence, and where the insured gets medical care. Carriers also differ in how they treat residence abroad and what medical records or exams they can use there. The answers depend on the carrier and the facts of the case.

Complete and accurate answers matter. Gaps or errors in the application can cause problems later, at issue or at claim.

Paying Premiums and Managing Cash Flow from Abroad

Premiums are usually paid from the company’s bank account. The practical questions are currency, bank transfers, and timing when the owner is overseas. A key person insurance owner living abroad should set up the payment method before the policy is issued, not after a payment is missed.

Missed payments have consequences. Treat the grace period as a backstop, not a plan. Confirm due dates and the payment route in writing.

From the CPA’s side, premium funding is a cash-flow decision for the business. The premium pays for the coverage. Whether the company can deduct it depends on the facts. Under 26 U.S.C. § 264, no deduction is allowed for premiums on a life policy if the taxpayer is directly or indirectly a beneficiary under it. Our team reviews how premium payments get recorded so the books match the policy.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a coverage review

Schedule a coverage review

Documents to Gather Before Applying

Before applying, gather the core paperwork. A business applying on a key person who lives abroad usually needs the following items:

The signed application and the carrier’s own forms

The insured’s written consent, signed on or before the time the contract is entered into (the insured’s signature on the application counts as that written consent)

A company resolution or meeting minutes approving the purchase

The buy-sell agreement, if one exists

Ownership and beneficiary designation forms

Passport details and the current address abroad, if the carrier asks

The company’s tax identification number

Corporate records should match the ownership and beneficiary choices on the application. A mismatch can delay the file. The carrier’s forms and requirements control the process. The licensed agent confirms the final list for the specific case.

Tax and Reporting Questions a CPA Reviews

The tax treatment depends on who owns the policy, who the beneficiary is, and what kind of entity the company is. These are questions a CPA reviews for the specific company. They are not general rules.

On death proceeds, 26 U.S.C. § 101 generally excludes amounts paid by reason of death from gross income, but for an employer-owned life insurance contract the exclusion can be limited to the premiums and other amounts the policyholder paid, unless an exception applies. Interest held under an agreement to pay interest is included in gross income. The IRS says life insurance proceeds may be taxable or nontaxable depending on the facts.

For employer-owned contracts issued after the date of enactment of this section, 26 U.S.C. § 6039I requires the policyholder to file a return with information about insured employees and their consents. Whether that filing applies depends on the policy’s facts.

Estate effects also matter. IRC § 2042 includes in the gross estate, to the extent of the amount receivable by all other beneficiaries, insurance on the decedent’s life when the decedent held incidents of ownership at death. IRC § 2042 reads: “For purposes of the preceding sentence, the term “incident of ownership” includes a reversionary interest (whether arising by the express terms of the policy or other instrument or by operation of law) only if the value of such reversionary interest exceeded 5 percent of the value of the policy immediately before the death of the decedent.” For a nonresident noncitizen, the IRS says life insurance proceeds on that person’s life are generally treated as outside the United States for estate tax purposes. Accounting and tax services come from the firm’s accounting practice.

Policy Values, Cancellation, and Loans

Term life insurance covers a set period. Whole life insurance covers the insured’s lifetime and builds cash value over time. Choose between them based on the business’s need, not on a projected gain.

Federal law adds requirements: a contract must first be a life insurance contract under applicable (state) law, and it counts as life insurance for federal tax purposes only if it also meets the requirements in 26 U.S.C. § 7702. A contract must meet the definition in 26 U.S.C. § 7702 to receive life insurance tax treatment. The design of the policy and its funding both matter.

Under IRC § 7702, a contract’s cash surrender value is its cash value determined without regard to any surrender charge, policy loan, or reasonable termination dividends; the section does not say when an insurer must advance a loan. IRC § 7702 sets the federal tax definition of a life insurance contract. The terms of a policy loan are set out in the policy contract. The cash value of a contract is determined without regard to any deduction for a surrender charge or policy loan, so review loan and surrender terms in the policy itself.

Questions to Bring to a Coverage Review

A U.S. company with an owner or key executive abroad usually faces three decisions at once: who holds the policy, how the insured’s residence affects the application, and how premiums get paid. Bring these questions to a coverage review:

Who should own the policy, and who should be the beneficiary?

How will the insured’s residence and travel affect underwriting with the carrier?

How and from which account will premiums be paid?

Which tax and reporting questions should the CPA review for this company?

Does the company have a buy-sell agreement that should match the policy?

Frequently asked questions
<details class="wp-block-details chg-faq is-layout-flow wp-block-details-is-layout-flow">
Who owns key person life insurance?

Usually the business owns the policy, pays the premiums, and receives the death benefit.
