For most owners, that means matching the term to a loan’s remaining years, a buy-sell timeline, or the year a key leader plans to step back. This guide walks through each of those clocks so you can choose a length that fits.

What key person life insurance is and why its length matters

Key person life insurance is a life insurance policy that a business owns on a person whose death would seriously affect the company. The business pays the premiums and receives the death benefit. The Insurance Information Institute explains that this coverage helps a business recover financial losses caused by a key employee’s death or disability.

The policy term is the set number of years the coverage stays in force. Length matters for two reasons. A term that ends too early leaves the business exposed. A term that runs far past the real need may cost more than the need requires. For the full overview, see our key person insurance guide.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a coverage review

Schedule a coverage review

Start with the years the business depends on this person

Begin by writing down how long the business relies on this person. Look at operating leadership, key client relationships, licensing or technical duties, and any planned step-back date.

A term that ends before that dependency ends leaves a gap. A term that runs well beyond it can pay for years the business no longer needs. Write the expected end of the key role first, then pick a term that reaches it.

Many owners pick a round number like 10 or 20 years without checking the calendar. Choosing the length from the business plan works better. Ask the key person about their own plans, too, because a planned retirement or move can change the timeline.

Matching the term to a business loan

Match the policy term to the loan’s remaining maturity and repayment schedule. The lender’s exposure lasts for the life of the loan, so the coverage should run at least that long.

Some lenders set their own rules for key person coverage. They may ask for a policy assignment or a minimum amount. Check the loan documents for those rules before you choose a term. Our page on lender requirements for a key person policy covers this in more detail.

If the loan may be refinanced or extended, review the term against the new schedule. A refinance that pushes the maturity date out can leave a policy that ends too soon.

Matching the term to a buy-sell agreement and ownership transfer

A buy-sell agreement sets how an owner’s share moves when an owner dies, retires or leaves. Buy-sell agreement insurance is life insurance that helps fund that transfer. So the term should reach the expected buyout or transfer window.

Owners often revisit the valuation method or other agreement terms over the years. When those terms change, review the policy term too. This guide treats the policy only as a way to fund a buyout.

Florida law addresses who may insure a key person. A business entity has an insurable interest in its owners, directors, officers, partners and managers, and in key employees or key persons, if it gets the key person’s written consent before buying the insurance. Here, a key employee or key person is someone whose position or compensation is described in s. 101(j)(2)(A)(ii) of the Internal Revenue Code. The business also may not retaliate against a key person who refuses to consent. Get that consent in writing before you apply.

Have questions about what happened?

Ask our team directly. After that, the premium may change, often with age. This varies by policy, so confirm the exact premium schedule in the policy contract before you choose a term.

Renewability and cancellability are two separate questions. Renewability asks whether coverage can continue after the term ends, and on what conditions. Cancellability asks who can end the policy, and when. Read both in the contract.

Florida law requires a grace period of not less than 30 days for paying a premium after the first one Fla. Stat. § 627.453. Florida also requires a life policy to be incontestable after it has been in force during the insured’s lifetime for two years from the issue date, except for nonpayment of premiums and, at the insurer’s option, provisions on disability benefits and additional insurance against death by accident or accidental means Fla. Stat. § 627.455. That rule does not stop defenses based on policy exclusions or restrictions Fla. Stat. § 627.463. Read the exclusions before you choose a term.

When a shorter or longer term may fit

A shorter term may fit a loan that is being paid down quickly. It may also fit a leadership transition planned within a few years.

A longer term may fit a buy-sell timeline that runs many years. It may also fit a key person who expects to stay in the role for a long time.

Adding coverage later usually means a new application. New underwriting may include health questions, and issue may depend on insurability. See our page on medical underwriting for key person policies.

Ownership also matters. Under federal law, life insurance proceeds count in a decedent’s gross estate when they are payable to the executor, or when they are payable to other beneficiaries and the decedent held certain rights (incidents of ownership) in the policy at death 26 U.S.C. § 2042. Owners who plan to live abroad should review the policy terms and the business plan together. The owner living abroad page covers those points.

Reviewing the term as the business changes

Review the term when certain events happen. Common triggers include a loan refinancing, a new owner, a change in the key person’s role, a planned sale, or a move abroad.

A term set when a loan began may not match the business a few years later. A short annual check keeps the coverage aligned with the real exposure.

Include the owners, the finance lead and the person who manages the loan in that check. Share one calendar of loan dates and buyout dates so everyone works from the same facts.

Next step: a coverage review for your loan or buyout timeline

If a loan is maturing, a buyout is scheduled, or a key leader is nearing a planned step-back, the term needs a check now.
